REFERRAL PROGRAM
TERMS AND CONDITIONS

Overview

• The NTN Buzztime, Inc. Street Team Program (the “Program”) is a rewards program in which individuals can earn a referral reward when they refer a new location that signs up for the NTN Buzztime Play Along TV® Network (the “Service”).

Eligibility

• The Program is open only to U.S. and Canadian residents who are twenty-one (21) years of age or older. Employees of NTN Buzztime, Inc. (“Buzztime”) and its related companies, agents, and suppliers, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible to participate. Brand Standard accounts with Buzztime (those locations that automatically open with the Buzztime service) are excluded from this program, including any Damon’s and Buffalo Wild Wings locations. The Program is void where prohibited by law.
• Participation in the Program constitutes Participant’s full and unconditional agreement to these Terms and Conditions.

Program Period

• The Program begins on April 15, 2007, and ends on a date determined by Buzztime.

Participating in the Program

• Visit http://players.buzztime.com/street_team and complete a Street Team referral form to participate in the Program.
• Referred sites will be checked against a Corporate Leads Database. Only leads that are not present in the Database or that have been inactive for a minimum of six months are eligible for the reward program.
• Referral s that result in a new location that signs up and activates the Service will receive a party thrown at the referred site, courtesy of Buzztime (approximate retail value of $200 U.S.). Party includes food, non-alcoholic beverages and Buzztime merchandise for Participant and guests. The number of guests invited depends upon cost of food, drinks and merchandise and will not exceed $200 U.S. Prize is not redeemable for cash equivalent and no substitutions will be made. Participation is responsible for transportation to/from the party. All other related expenses including alcoholic beverages and gratuity are the responsibility of the Participant. Date of the party will be mutually arranged between the referred site, Participant, and Buzztime within forty-five (45) days from the Buzztime Service activation
• Sales of the Buzztime Service made on referrals must close within a 90-day period from receipt of the referral to be eligible.
• In the event that the same site is referred by more than one person, the referral party will be awarded to the person who submitted the site referral first. This will be determined by the time stamp of the e-mail received by Buzztime.
• In the event that a site was referred to Buzztime prior to the start of the Program at our request, Buzztime will award prizing at its sole discretion. Referral prior to program start does not guarantee program benefits.
• Participant must provide all required information in the Street Team form in order for the referral to be valid.

Modifications and Termination of the Program

• Buzztime reserves the right to modify any of the terms and conditions set forth herein – including, but not limited to, the methods through which the referral reward is distributed and the number of rewards that can be earned by one recipient – at any time, with or without notice, even though these changes may affect the ability of a referrer to receive a reward.
• Participation in the Program constitutes the Participant’s acceptance of any changes to these Terms and Conditions. Participants are responsible for remaining knowledgeable as to any changes that NTN Buzztime may make to these Terms and Conditions. The most current version of these Terms and Conditions will be available at https://players.buzztime.com/street_team and will supersede all previous versions of these Terms and Conditions.

General Terms and Conditions

• Buzztime reserves the right to discontinue the privileges of any Participant who engages in any fraudulent activity or uses the Program in a manner inconsistent with these Terms and Conditions or any Federal or state laws, statutes, or ordinances. In addition to discontinuance of participation privileges, NTN Buzztime shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.
• Referral awards provided through this Program may not be transferred or assigned, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law.
• Buzztime is not responsible for any incorrect or inaccurate information supplied by Participants in the Program.
• All questions or disputes regarding eligibility for the Program, earning of rewards, or a customer’s compliance with these Terms and Conditions will be resolved by Buzztime in its sole discretion.
• Participants agree that by referring a potential site to Buzztime, their names, handles, likenesses, and quote on the referral form as the “why the site should get Buzztime”, may be used without compensation for the purposes of publicity by both Buzztime and the site being referred.

Limitation of Liability

• By participating in the Program, each Participant acknowledges that technical processing and transmission of information on the Buzztime web site may involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices. Buzztime is not responsible for: (a) incorrect or inaccurate transcription of information; (b) problems related to any of the equipment or programming associated with the Program or utilized by the Participant; (c) any human error or printing error; (d) any interruption, deletion, omission, defect, or line failure of any telephone network or electronic transmission; (e) problems relating to computer equipment, software, or inability to access the Buzztime web site; or (f) any other technical or non-technical error or malfunction.
• By participating in the Program, each Participant accepts all responsibility for, and hereby indemnifies and holds harmless Buzztime, each of its related companies, and each such company’s respective officers, directors, employees, shareholders, agents, and successors, and assigns (the “Released Parties”), from and against any claims that may arise from actions taken by such Participant.
• UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM, EVEN IF ANY OR ALL OF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SUCH EXCLUSIONS MAY NOT APPLY TO YOU. IF A PARTICIPANT PROVES THAT NTN BUZZTIME, INC. HAS IMPROPERLY DENIED THAT PARTICIPANT OF REWARDS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT VALUE OF ONE (1) CENT. BY PARTICIPATING IN THE PROGRAM, A PARTICIPANT WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.
• Except where prohibited, each Participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Program shall be resolved individually without resort to any form of class action and exclusively by arbitration as selected by Buzztime to take place in the county of San Diego, California under the Commercial Arbitration Rules of the American Arbitration Association; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (i.e., only costs associated with participating in the Program), but shall not include attorneys’ fees under any circumstances; and (c) Participant hereby waives all rights to claim punitive, incidental, and consequential damages.
• If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
